Client Travel Disclosures

Pan Am Travel® Client Disclosures · Effective March 6, 2026

These Client Disclosures (“Disclosures”) govern the travel advisory, booking, charter coordination, corporate travel management, and related services provided by Pan Am Travel®, a division of Pan Am Global Holdings, LLC (“Pan Am Travel,” “we,” “us,” or “our”).

By engaging Pan Am Travel to arrange travel services, making a booking through us, or submitting payment for travel arrangements, you (“Client,” “Traveler,” or “you”) acknowledge and agree to the terms set forth below.

1. Agency Role and Relationship to Travel Suppliers

Pan Am Travel acts solely as an intermediary and agent for independent third-party travel suppliers, including but not limited to airlines, hotels, cruise lines, tour operators, charter operators, ground transportation providers, destination management companies, and travel insurance providers (collectively, “Suppliers”).

Pan Am Travel does not own, operate, manage, or control any Supplier. All transportation, accommodations, and travel services are provided directly by Suppliers under their own terms and conditions. When booking travel through Pan Am Travel, you enter into a direct contractual relationship with the applicable Supplier(s); your rights and obligations are governed by the Supplier’s terms and conditions; and Pan Am Travel facilitates the arrangement of services but does not guarantee the performance of any Supplier.

Pan Am Travel is not responsible for acts, errors, omissions, representations, warranties, breaches, or negligence of any Supplier or for any personal injury, death, property damage, delay, inconvenience, cancellation, overbooking, force majeure event, or other loss or expense resulting from the actions or inactions of a Supplier.

2. Supplier Terms and Conditions; Client Responsibilities

All travel services arranged by Pan Am Travel are subject to the terms, conditions, rules, and restrictions imposed by the applicable Supplier(s). These may include, without limitation, fare rules, cancellation policies, refund limitations, change penalties, baggage policies, liability limitations, and other contractual provisions.

It is the Client’s responsibility to review and understand the applicable Supplier terms and conditions prior to confirming any booking. By authorizing Pan Am Travel to make travel arrangements on your behalf, you acknowledge and agree to be bound by the terms and conditions of each Supplier involved in your itinerary. Pan Am Travel may provide summaries of certain Supplier policies for convenience; however, such summaries do not replace or modify the Supplier’s full contractual terms. In the event of any conflict, the Supplier’s published terms and conditions shall control.

2.1 Accuracy of information

You are responsible for providing complete, accurate, and current information for all travelers in your party, including legal names as they appear on government-issued identification or passports, dates of birth, passport details, known traveler numbers, contact information, and special service requests or accommodations. Failure to provide accurate information may result in denied boarding, cancellation of reservations, additional fees, or other adverse consequences for which Pan Am Travel shall not be responsible.

2.2 Travel documentation and entry requirements

The Client is solely responsible for obtaining and maintaining valid passports; securing visas and other required travel authorizations; meeting entry, exit, transit, vaccination, testing, or health documentation requirements; and complying with all immigration and customs regulations applicable to travel destinations. Pan Am Travel may provide general guidance regarding documentation requirements; however, such information is provided as a courtesy and may not reflect the most current regulatory changes. Government requirements are subject to change without notice. Pan Am Travel shall not be liable for any consequences arising from a Client’s failure to obtain or maintain proper travel documentation.

2.3 Special requests and accommodations

Special requests, including but not limited to dietary needs, accessibility accommodations, seating preferences, or room configurations, are subject to availability and Supplier confirmation. Pan Am Travel will communicate such requests to Suppliers but cannot guarantee that they will be fulfilled.

2.4 Changes and cancellations

All changes and cancellations are subject to Supplier-imposed penalties and restrictions, fare rules, the contractual terms of the applicable Supplier, and any applicable service fees charged by Pan Am Travel. Refund eligibility, if any, is determined solely by the applicable Supplier. Pan Am Travel is not responsible for Supplier-imposed penalties, non-refundable fares, or forfeited deposits.

3. Fees, Compensation, and Commission Disclosure

Pan Am Travel may charge professional service fees in connection with travel advisory, planning, booking, ticketing, modification, cancellation, group coordination, emergency support, and other services (collectively, “Service Fees”). All applicable Service Fees will be disclosed to the Client prior to or at the time of booking. Unless otherwise agreed in writing, Service Fees are non-refundable; are earned upon performance of the associated service; and are separate from Supplier-imposed charges, deposits, and penalties.

3.1 Types of service fees

Depending on the nature of the travel engagement, Service Fees may include, without limitation, planning or consultation fees; research and itinerary design fees; air ticketing fees; change or rebooking fees; cancellation processing fees; group coordination fees; after-hours or emergency service fees; and corporate travel management fees. Fees may vary based on itinerary complexity, destination, service level, and timing.

3.2 Supplier pricing and pass-through costs

Travel pricing, availability, and fare rules are determined solely by Suppliers. Supplier pricing may include base fares, taxes and government fees, fuel surcharges, port charges, resort or facility fees, and service charges imposed by Suppliers. Pan Am Travel does not control Supplier pricing structures and is not responsible for pricing changes, inventory limitations, or fare fluctuations.

3.3 Commission disclosure

In addition to Service Fees, Pan Am Travel may receive compensation from Suppliers in the form of commissions, overrides, incentives, or marketing support payments. Such compensation may be paid by hotels, cruise lines, tour operators, airlines (where applicable), charter operators, destination management companies, and preferred partner networks, including Signature Travel Network. Commission amounts vary by Supplier and product and are generally calculated as a percentage of the booking value. Receipt of commission does not increase the price paid by the Client unless otherwise disclosed.

3.4 Signature Travel Network participation

As a member of Signature Travel Network, Pan Am Travel may receive commission overrides or marketing support payments from participating preferred Suppliers in connection with eligible bookings. Participation in Signature programs may allow Clients to receive additional amenities, benefits, or negotiated rates. Such benefits are subject to Supplier availability and eligibility requirements. Signature Travel Network does not control travel services and is not responsible for Supplier performance.

3.5 Transparency and conflicts

Pan Am Travel endeavors to recommend travel arrangements based on the Client’s stated preferences, travel objectives, and service requirements. While compensation structures may vary among Suppliers, Pan Am Travel does not guarantee that the lowest possible price will always be available. Clients may find different pricing through alternative distribution channels, including direct booking with Suppliers. By engaging Pan Am Travel, you acknowledge and accept the agency’s compensation structure as disclosed herein.

4. Travel Insurance; Assumption of Risk; Force Majeure

Travel involves inherent risks, including but not limited to delays, cancellations, medical emergencies, political instability, natural disasters, mechanical failures, labor disruptions, acts of terrorism, public health events, and governmental actions. By engaging Pan Am Travel to arrange travel services, you acknowledge and accept these inherent risks.

4.1 Travel insurance

Pan Am Travel strongly recommends that all Clients purchase comprehensive travel insurance, including coverage for trip cancellation or interruption; medical expenses and emergency evacuation; travel delays; baggage loss or delay; and supplier insolvency (where available). Travel insurance is optional unless otherwise required for a specific program or Supplier. Pan Am Travel is not an insurer and does not underwrite insurance policies. Any insurance coverage is subject to the terms, conditions, exclusions, and limitations of the issuing insurance provider. Failure to purchase travel insurance may result in unrecoverable financial loss in the event of cancellation, interruption, or unforeseen circumstances.

4.2 Assumption of risk

The Client acknowledges that travel to domestic and international destinations may involve risks that are outside the control of Pan Am Travel, including illness or injury, changes in government regulations, entry or exit restrictions, quarantine requirements, civil unrest, weather events, transportation disruptions, mechanical failures, and acts of third parties. By proceeding with travel arrangements, the Client voluntarily assumes all such risks to the fullest extent permitted by law.

4.3 Force majeure

Pan Am Travel shall not be liable for any failure, delay, cancellation, loss, injury, damage, or expense resulting from circumstances beyond its reasonable control, including acts of God, natural disasters, severe weather, epidemics or pandemics, public health emergencies, war or armed conflict, terrorist activity, labor disputes or strikes, governmental actions or travel restrictions, mechanical breakdowns, supplier insolvency, and transportation delays or cancellations. In the event of a force majeure circumstance, refunds, credits, or alternative arrangements shall be governed solely by the applicable Supplier’s policies.

4.4 No guarantee of uninterrupted travel

Pan Am Travel does not guarantee uninterrupted travel, specific seating, room types, amenities, or travel schedules unless expressly confirmed in writing by the applicable Supplier. All travel arrangements are subject to change based on Supplier policies and operational realities.

5. Charter Programs and Special Event Travel

From time to time, Pan Am Travel may coordinate or facilitate charter programs, special event travel, or bespoke group travel arrangements (collectively, “Charter Programs”). Charter Programs may involve third-party charter operators, including but not limited to Icelandair, Freedom Air Jet Charters, ACC Aviation, and Clipper Air Charters (a division of Pan Am Flight).

5.1 Role of Pan Am Travel in charter programs

In connection with Charter Programs, Pan Am Travel acts as a travel intermediary and program coordinator. Pan Am Travel may collect passenger information; coordinate travel arrangements and ground services; collect funds from participants; transmit payments to the applicable charter operator or Supplier; and provide logistical oversight and administrative coordination. Pan Am Travel is not an air carrier and does not operate aircraft. All air transportation services are provided by the applicable charter operator or licensed air carrier, which retains full operational control and responsibility for safety, maintenance, crew, regulatory compliance, and performance of air transportation services.

5.2 Charter operator responsibility

Each Charter Program is subject to the terms and conditions of the applicable charter operator or air carrier. Charter operators are solely responsible for aircraft operations, compliance with aviation regulations, safety procedures, crew staffing, flight scheduling, and operational performance. Pan Am Travel does not assume responsibility for the acts, omissions, or performance of any charter operator or air carrier.

5.3 Funds collection and payment processing

In connection with Charter Programs, Pan Am Travel may collect funds from participants for travel services. Collected funds may be deposited into designated accounts established for program administration and transmitted to the applicable charter operator or Supplier in accordance with contractual arrangements. Client funds are subject to the terms, conditions, and cancellation policies of the applicable Charter Program and Supplier.

5.4 Regulatory filings and aviation compliance

Where required, charter documentation and regulatory filings will be handled by the applicable charter operator in accordance with governing aviation regulations. Pan Am Travel does not act as a public charter operator unless expressly disclosed in writing.

5.5 Special event and group travel risks

Charter Programs and special event travel (including sporting events, tournaments, festivals, or destination experiences) may involve heightened logistical complexity and operational variables. Event dates, venue access, transportation schedules, and accommodations are subject to change based on operational conditions and third-party decisions. Pan Am Travel shall not be liable for schedule changes, venue modifications, event cancellations, or Supplier adjustments beyond its direct control.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Pan Am Travel’s liability, if any, arising out of or relating to travel services arranged on behalf of a Client shall be limited strictly as set forth in this Section.

6.1 Supplier acts and omissions

Pan Am Travel shall not be liable for any injury, loss, claim, damage, delay, inconvenience, cost, or expense of any kind arising from or related to the acts, omissions, negligence, representations, warranties, breaches, or failures of any Supplier, including airlines, hotels, cruise lines, tour operators, charter operators, ground transportation providers, destination management companies, event organizers, and travel insurance providers. All claims relating to the performance of travel services must be directed to the applicable Supplier.

6.2 Limitation to service fees

In the event Pan Am Travel is found liable for any claim arising from its own error or omission in providing travel advisory or booking services, Pan Am Travel’s total aggregate liability shall not exceed the amount of professional service fees actually paid to Pan Am Travel by the Client in connection with the specific booking giving rise to the claim. Under no circumstances shall Pan Am Travel’s liability exceed the amount of service fees paid, regardless of the form of action, whether in contract, tort, statute, or otherwise.

6.3 Exclusion of consequential damages

To the fullest extent permitted by law, Pan Am Travel shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of enjoyment, emotional distress, lost profits, lost business opportunities, missed events, additional travel costs, substitute transportation, and extended lodging expenses. This exclusion applies even if Pan Am Travel has been advised of the possibility of such damages.

6.4 No liability for travel insurance claims

Pan Am Travel shall not be liable for the denial of any claim by a travel insurance provider. Insurance coverage decisions are governed solely by the issuing insurer’s policy terms.

6.5 Release

By engaging Pan Am Travel and proceeding with travel arrangements, the Client releases and holds harmless Pan Am Travel, Pan Am Global Holdings, LLC, and their respective officers, directors, employees, and agents from any and all claims arising from or related to Supplier performance, travel disruptions, or events beyond Pan Am Travel’s reasonable control.

7. Seller of Travel and Regulatory Disclosures

Pan Am Travel is registered as a Seller of Travel in the State of California. California Seller of Travel Registration Number: CST #2158698-50.

7.1 California Travel Consumer Restitution Corporation

Pan Am Travel participates in the California Travel Consumer Restitution Corporation (“TCRC”), as required by California law. Clients located in California may be eligible to file a claim with TCRC in the event of the Seller of Travel’s bankruptcy, insolvency, or cessation of business under certain limited circumstances. Claims must be filed directly with TCRC in accordance with California Business & Professions Code § 17550.14. Participation in TCRC does not cover losses arising from acts or omissions of third-party Suppliers; travel cancellations due to force majeure; or airline bankruptcies or Supplier insolvency unrelated to the Seller of Travel. For additional information regarding TCRC eligibility and procedures, Clients may visit tcrcinfo.org.

7.2 Airlines Reporting Corporation (ARC)

Pan Am Travel complies with reporting and settlement obligations through the Airlines Reporting Corporation (ARC). ARC governs the reporting, remittance, and settlement of airline ticket transactions. Pan Am Travel adheres to ARC reporting requirements and applicable industry standards.

7.3 Other regulatory compliance

Travel services may be subject to additional federal, state, and international regulations depending on the nature of the booking, including aviation, immigration, customs, and consumer protection laws. Where required, charter operators and air carriers are responsible for aviation regulatory filings and compliance. Pan Am Travel does not operate aircraft unless expressly disclosed in writing and shall not be deemed an air carrier under applicable law solely by facilitating travel arrangements.

8. Emergency Services and After-Hours Support

Pan Am Travel, or its associated partners, may, at its discretion, offer limited emergency or after-hours assistance in connection with active travel itineraries. Such assistance is intended to facilitate communication between the Client and the applicable Supplier and to provide administrative support in resolving travel disruptions.

8.1 Scope of emergency assistance

Emergency or after-hours assistance may include communicating with airlines or other Suppliers regarding delays or cancellations; assisting with rebooking requests; providing guidance regarding travel documentation issues; coordinating communication during urgent itinerary disruptions; and supporting group travel leaders during operational events. Emergency assistance does not include operational control over flights, accommodations, or other Supplier services. Pan Am Travel does not guarantee the availability, response time, or outcome of emergency assistance.

8.2 Availability

Emergency services may be offered outside normal business hours; however, availability is not guaranteed on a 24-hour basis unless expressly agreed in writing; response times may vary depending on staffing, time zone, and circumstances; and certain services may be subject to additional fees. Clients are encouraged to contact the applicable Supplier directly for urgent operational matters, including airline schedule changes, hotel front desk issues, or on-site emergencies.

8.3 Limitations

Pan Am Travel shall not be liable for inability to reach Suppliers; Supplier refusal to modify reservations; government or airport restrictions; communication delays; technical outages; or circumstances beyond its reasonable control. Emergency support is facilitative in nature and does not create a fiduciary or insurer relationship between Pan Am Travel and the Client.

8.4 Client responsibility during travel

During active travel, the Client remains responsible for monitoring airline communications; confirming flight times and gate changes; complying with on-site Supplier instructions; carrying required documentation; and maintaining valid travel insurance coverage. Pan Am Travel’s assistance does not replace the Client’s independent responsibility to monitor travel conditions and comply with Supplier requirements.

9. Indemnification

To the fullest extent permitted by applicable law, the Client agrees to indemnify, defend, and hold harmless Pan Am Travel, Pan Am Global Holdings, LLC, and their respective officers, directors, employees, agents, and affiliates (collectively, the “Pan Am Parties”) from and against any and all claims, liabilities, losses, damages, judgments, penalties, fines, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • The Client’s breach of these Disclosures;
  • The Client’s violation of any Supplier terms and conditions;
  • The Client’s failure to obtain or maintain proper travel documentation;
  • The Client’s failure to comply with immigration, customs, or health regulations;
  • The Client’s misrepresentation or provision of inaccurate information;
  • The Client’s negligent, reckless, or unlawful conduct;
  • Claims brought by third parties arising from the Client’s actions or omissions.

This indemnification obligation shall survive completion of travel services. Nothing in this Section shall require the Client to indemnify Pan Am Travel for claims arising solely from Pan Am Travel’s own willful misconduct.

10. Governing Law and Dispute Resolution

These Disclosures and any dispute arising out of or relating to travel services arranged by Pan Am Travel shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

10.1 Exclusive venue

Any legal action, claim, or proceeding arising out of or relating to these Disclosures or the travel services provided by Pan Am Travel shall be brought exclusively in the state or federal courts located in Orange County, California. The Client irrevocably submits to the personal jurisdiction of such courts and waives any objection based on improper venue or forum non conveniens.

10.2 Informal resolution

Prior to initiating formal legal proceedings, the Client agrees to provide written notice of any dispute to Pan Am Travel and to allow a reasonable opportunity for good-faith resolution. Written notice of disputes must be submitted to Pan Am Travel, 23091 Mill Creek Dr., Laguna Hills, CA 92653, United States, or via email to info@panamtravel.com. Pan Am Travel will review the matter and make reasonable efforts to resolve the dispute prior to the initiation of litigation.

10.3 Waiver of jury trial

To the fullest extent permitted by law, both Pan Am Travel and the Client knowingly and voluntarily waive any right to a trial by jury in any action or proceeding arising out of or relating to travel services or these Disclosures.

10.4 Time limitation on claims

Any claim arising out of or relating to travel services arranged by Pan Am Travel must be brought within one (1) year from the date of completion of the travel giving rise to the claim, or the claim shall be deemed permanently barred to the fullest extent permitted by law.

11. Severability; Entire Agreement; Modifications

11.1 Severability

If any provision of these Disclosures is determined to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible under applicable law, and the remaining provisions shall remain in full force and effect. The invalidity or unenforceability of any single provision shall not affect the validity or enforceability of any other provision contained herein.

11.2 Entire agreement

These Disclosures, together with any written travel proposals, booking confirmations, invoices, and applicable Supplier terms and conditions, constitute the entire agreement between the Client and Pan Am Travel with respect to the travel services arranged. These Disclosures supersede any prior oral or written communications, representations, or understandings relating to the subject matter herein.

11.3 Modifications

Pan Am Travel reserves the right to modify or update these Disclosures at any time. Any modifications shall become effective upon posting to the Pan Am Travel website or upon written notice to Clients. The version of the Disclosures in effect at the time of booking shall govern the applicable travel arrangement unless otherwise required by law.
